Welcome to Firmpoly. By accessing or using the Firmpoly website (firmpoly.com), our Business Discovery platform, or any associated services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms").

These Terms apply to all visitors, registered users, and business entities ("Users"). If you do not agree to these Terms, you must not use or access the Platform. Firmpoly reserves the right to modify these Terms at any time. We will provide notice of significant changes, and your continued use of the Platform constitutes your acceptance of the revised Terms.

To access certain features of Firmpoly, such as claiming a business profile, contacting vendors, or utilizing premium data features, you must create an account.

A. Eligibility

You must be at least 18 years old to use the Platform. By creating an account on behalf of a business entity, you represent and warrant that you are an authorized representative with the legal authority to bind that entity to these Terms.

B. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. Firmpoly is not liable for any loss or damage arising from your failure to protect your account information or unauthorized access to your account.

Firmpoly provides a directory of businesses. Strict rules apply to entities claiming or managing listings on the platform.

A. Accuracy of Information

Businesses claiming or creating a profile are solely responsible for ensuring that all content supplied (including descriptions, services, locations, certifications, and contact info) is accurate, lawful, up-to-date, and not misleading.

B. The "Firmpoly Verified" Badge

Firmpoly utilizes a verification process detailed in our Trust & Verification Policy. The "Verified" badge indicates that Firmpoly has conducted basic identity and operational checks. However, verification does not constitute an endorsement, guarantee, or warranty by Firmpoly regarding the business's quality of work, financial solvency, or future performance.

C. Right to Remove or Revoke

Firmpoly reserves the right, at its sole discretion and without prior notice or liability, to remove any business listing, revoke verification badges, or suspend accounts that violate these Terms, provide fraudulent information, or engage in deceptive business practices.

Firmpoly operates solely as an informational discovery and directory platform to facilitate connections between B2B buyers and service providers.

When accessing or using the Platform, you agree that you will not:

• Submit false, inaccurate, defamatory, or misleading business information or reviews.
• Impersonate any person or entity, or falsely state your affiliation with a company.
• Engage in unauthorized data scraping, web crawling, or bulk extraction of directory data for competitive or commercial purposes without our explicit written consent.
• Use the Platform's messaging or contact features to send spam, unsolicited marketing messages, or unauthorized advertisements.
• Upload or transmit viruses, malware, trojan horses, or any other malicious code intended to damage or disrupt the Platform.
• Attempt to bypass, circumvent, or interfere with any security features or verification processes implemented by Firmpoly.

A. Firmpoly's IP

All content on the Platform (excluding User-Submitted Content), including the Firmpoly logo, site design, text, graphics, proprietary search algorithms, and verification methodologies, are the exclusive property of Firmpoly and are protected by copyright, trademark, and other intellectual property laws.

B. User-Submitted Content

By submitting content (such as company logos, descriptions, and photos) to your business profile, you grant Firmpoly a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute that content across our Platform solely for the purpose of promoting your business and operating our directory services. You warrant that you have the right to grant this license.

You agree to indemnify, defend, and hold harmless Firmpoly, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of or access to the Platform.
• Your violation of any of these Terms.
• Any content or information you submit, post, or transmit through the Platform.
• Your violation of any rights of any other person or entity, including intellectual property or privacy rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIRMPOLY, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
• (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY OR LISTED BUSINESS ON THE PLATFORM;
• (III) ANY BUSINESS TRANSACTIONS, AGREEMENTS, OR DISPUTES INITIATED VIA DISCOVERY ON THE PLATFORM;
• (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Firmpoly's primary corporate entity is registered, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in that jurisdiction, using the English language.

Firmpoly reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Platform or any service to which it connects, with or without notice and without liability to you.
